On October 31, 2025, during post-market hours, Regencell filed an annual report on Form 20-F disclosing that “the Company received correspondence and a subpoena from the U.S. Department of Justice (“DOJ”), indicating that the DOJ is conducting an investigation into the trading in our Ordinary Shares.” Additionally, the filing states that “[t]he DOJ has requested the production of documents and communications concerning these and other corporate operational, financial and accounting matters.” On November 3, 2025, the first trading day following the news, the price of Regencell’s shares fell $3.09 per share, or 18.6%, to close at $13.56 per share.
On April 17, 2026, the Company announced that its board of directors and the audit committee had dismissed Marcum Asia CPAs LLP (“Marcum Asia”) as the Company’s independent registered public accounting firm, effective April 16, 2026, and replaced Marcum Asia with the appointment of HTL International, LLC as the Company’s independent registered public accounting firm to audit the Company’s consolidated financial statements of the Company as of and for the year ending June 30, 2026.
On April 24, 2026, a complaint was filed alleging that throughout the Class Period defendants made false and/or misleading statements and/or failed to disclose, among other things, that (1) Regencell was vulnerable and/or subject to market manipulation; (2) the resulting volatility in the market for the Company’s ordinary shares exposed Regencell’s investors to significant financial risk; and (3) all the foregoing subjected Regencell to a heightened risk of regulatory and/or governmental scrutiny and enforcement action, as well as significant legal, monetary, and reputational harm.
