Item 2.02.                      Results of Operations and Financial Condition.
 
On November 24, 2010, Registrant issued a press release announcing its unaudited earnings and results of operations for the third quarter ended October 31, 2010.  A copy of the November 24, 2010 press release is attached hereto as Exhibit 99.1 to this Form 8-K.
