Item 1.01.   Entry into a Material Definitive Agreement
     On August 14, 2008, Calgon Carbon Corporation (the “Company”) entered into a third amendment to its credit agreement, dated as of August 14, 2008 (the “Third Amendment”), among the Company, the other loan parties thereto, the lenders party thereto, J.P. Morgan Europe Limited, as the European Administrative Agent, JPMorgan Chase Bank, N.A., as the US Administrative Agent, and J.P. Morgan Securities, Inc., as Sole Bookrunner and Sole Lead Arranger. The Third Amendment amends the Company’s Credit Agreement, dated as of August 18, 2006 (the Credit Agreement”), with the lenders and Administrative Agents party thereto, to, among other things, (i) provide for an increase in the total revolving commitment to $60,000,000, (ii) permit the establishment of a term loan in an aggregate principal amount not to exceed $25,000,000 under certain circumstances and (iii) to permit the conversion, redemption, repurchase or other acquisition by the Company of all of its currently outstanding 5.00% Convertible Senior Notes due 2036.
