On December 17, 2004, the registrant effected a 3-for-2 stock split of its common stock. On January 18, 2005, the Executive Organization & Compensation Committee adopted resolutions in accordance with provisions of the Plan adjusting proportionately shares reserved for grant under the Plan to give effect to the 3-for-2 stock split, and also granted stock options to the non-employee directors.
