PART III - NARRATIVE The Registrant's Annual Report on Form 10-K for the fiscal year ended January 31, 2002 could not be filed within the prescribed time period because additional time is required to prepare the financial statements as a result of the Registrant's decision to discontinue the operations of two business segments, and related effects of the disposal certain net assets of the discontinued operations of the Registrant during the fourth quarter of its fiscal year ended January 31, 2002. The two business segments discontinued by the Registrant were (i) the e-commerce segment operated by its ZoomLot subsidiary and (ii) the auto financing segment. The decision to discontinue these two segments necessitates the recasting of financial statements for prior years to reclassify the segments as discontinued operations, which has increased the time needed to prepare the financial statements The Registrant is working to complete the preparation of the financial statements as expeditiously as possible. The Registrant expects that the subject Annual Report on Form 10-K will be filed by May 15, 2002.
