Item 5.02		Departure of Directors or Principal Officers; Election of Directors; Appointment of Principal Officers; Compensatory Arrangements of Certain Officers.

     Effective February 19, 2007, Oren Becker resigned his position as Chief Scientific Officer of EPIX Pharmaceuticals, Inc. (the “Company”). The resignation as an officer will be effective immediately. The Company does not currently have any plans to replace his position. The Company and Dr. Becker have agreed that Dr. Becker will remain employed by the Company until April 19, 2007.
