Item 8.01 Other Events.
On September 25, 2006, Lennox International Inc. (the “Company”) announced that Robert E.
Schjerven, the Company’s Chief Executive Officer, has advised the Company of his intention to
retire from his duties as Chief Executive Officer by mid-2007.
Mr. Schjerven will remain as Chief Executive Officer until his
successor is named. A copy of the press release is
included as Exhibit 99.1 to this report and is incorporated herein by reference.
