Item 8.01 Other Events.

     As previously disclosed, on January 12, 2009, Tronox Incorporated (the “Company”), and certain of its subsidiaries (collectively, the “Debtors”) filed voluntary petitions in the United States Bankruptcy Court for the Southern District of New York (the “Bankruptcy Court”) seeking reorganization relief under the provisions of Chapter 11 of Title 11 of the United States Code (the “Bankruptcy Code”). In connection with the Chapter 11 cases, on September 1, 2010, the Debtors filed with the Bankruptcy Court a First Amended Joint Plan of Reorganization of the Debtors (the “Plan”) and a First Amended Disclosure Statement for the Plan (the “Disclosure Statement”) pursuant to Chapter 11. The Plan and Disclosure Statement amend the initial plan and disclosure statement filed with the Bankruptcy Court on July 7, 2010. Copies of the Plan and Disclosure Statement as filed with the Bankruptcy Court are publicly available and may be accessed free of charge at the Debtors’ private website at http://www.tronox.com.

     The Debtors recommend that its stakeholders refer to the limitations and qualifications included in the Plan and Disclosure Statement, as applicable, with respect to the information contained therein. Information contained in the Plan and Disclosure Statement is subject to change, whether as a result of amendments to the Plan, actions of third parties or otherwise.

     There is no assurance as to whether the Plan will be consummated or if it will become effective.
