Item 5.03 Amendments to Articles of Incorporation or Bylaws; Changes in Fiscal Year.
     Effective March 12, 2010, the Company’s Board of Directors amended, in part, Article II, Section 9 of the Company’s Amended and Restated Bylaws (the “Bylaws”) to conform more closely to the Delaware General Corporation Law. The first sentence of the third paragraph of Article II, Section 9 has been deleted in its entirety and replaced with the following:
At each meeting of the stockholders, all matters, other than the election of directors, submitted to the stockholders at any meeting (except as otherwise required by the rules and regulations of the New York Stock Exchange, law or the Certificate of Incorporation or these Bylaws) shall be decided by the affirmative vote of a majority of the shares of stock present in person or represented by proxy at the meeting and entitled to vote thereon.
     The foregoing summary of the changes to the Bylaws is subject to, and qualified in its entirety by reference to, the complete text of the Amended and Restated Bylaws of Lennox International Inc., as amended effective March 12, 2010, attached to this Current Report on Form 8-K as Exhibit 3.1 and incorporated herein by reference.
