Item 8.01.   OTHER EVENTS
On October 21, 2008, Proliance International, Inc. (the “Company”) issued a press release announcing that the Company remains on track to achieve its previously announced guidance of adjusted operating income in the range of about $20 million for the full year 2008. As previously reported, the guidance excludes one-time costs related to the Southaven casualty event and expenses associated with amendments to the Company’s credit facility. The press release also announced the schedule for the Company’s third quarter conference call. A copy of the press release is filed as Exhibit 99.1 hereto.
