 Item 5.05 Amendments to the Registrant’s Code of Ethics, or Waiver of a Provision of the Code of Ethics.
 
On September 29, 2009, the Board of Directors of Century Aluminum Company (the “Company”), upon the recommendation of the Audit Committee of the Board of Directors, approved amendments to the Company’s Code of Ethics.
 
The principal amendments include the adoption of an anti-harassment policy, guidelines regarding use of Company telephones and computers, use of public communications and incorporating into the Code of Ethics the Company’s incentive compensation recoupment policy.  Other clarifying amendments and technical changes were also approved by the Board of Directors.  The amendments to the Code of Ethics are effective immediately.  None of the amendments constituted a waiver of a provision of the Code of Ethics on behalf of the Company’s Chief Executive Officer, Chief Financial Officer, Controller, or persons performing similar functions.
