Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.
 
On January 27, 2011, Bunge Limited (“Bunge”) announced that Andrew J. Burke will become Chief Financial Officer, effective February 1, 2011. Mr. Burke has served as interim Chief Financial Officer since September 2010.
 
Since July 2010, Mr. Burke, age 55, has served as Bunge’s Global Operational Excellence Officer and he will also continue in that role. From November 2006 to July 2010, he served as Co-CEO, Bunge Global Agribusiness and Bunge Product Lines.  Mr. Burke joined Bunge in January 2002 as Managing Director, Soy Ingredients and New Business Development and later served as Managing Director, New Business.  Mr. Burke previously served as Bunge’s interim Chief Financial Officer from April 2007 to July 2007.
