Item 2.02 Results of Operations and Financial Condition.
On February 23, 2017, Erie Indemnity Company (the "Company") issued a press release announcing financial results for the quarter and year ended December 31, 2016. Copies of the press release and financial information are attached hereto and are incorporated herein by reference as Exhibit 99.1 and Exhibit 99.2, respectively.
On February 24, 2017 at 10:00 a.m. the Company will hold a telephone conference call that will be Webcast and that is complimentary to the press release announcing financial results for the quarter and year ended December 31, 2016.

At its meeting on February 16, 2017, the Company's Board of Directors approved the following quarterly dividend on shares of Erie Indemnity Company Class A common stock:
