Item 2.02.                   Results of Operations and Financial Condition.

On April 27, 2011, Parametric Technology Corporation issued a press release announcing results for its second fiscal quarter ended April 2, 2011.  PTC also posted a copy of its supplemental prepared remarks with respect to the completed quarter on the Investor Relations section of its website at www.ptc.com.  A copy of the press release and a copy of the prepared remarks are furnished herewith as Exhibits 99.1 and 99.2, respectively.

Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers

On April 26, 2011, Paul Cunningham, our Executive Vice President, Worldwide Sales, resigned effective November 15, 2011.  As of April 28, 2011, Mr. Cunningham will continue with PTC as Executive Advisor for the transition period.
