Item 5.02. Departure of Directors or Principal Officers; Election of Directors;
Appointment of Principal Officers
Leonard J. Kujawa has served as a member of the AEP board of directors
since 1997. AEP has a policy that a director is ineligible for reelection after
reaching the age of 72. Accordingly, in accordance with that policy, Mr.
Kujawa's term of service as a director will expire at AEP's 2005 Annual Meeting
of Shareholders on April 26, 2005, and he will not be nominated for reelection .
