Item 1.01 Entry into a Material Definitive Agreement

On January 17, 2018, AmBase Corporation's ("AmBase" or the "Company") wholly owned subsidiary Maiden Lane Associates, Ltd. ("MLA") entered into an agreement to sell the office building it owns in Greenwich, CT., to Maria USA, Inc. an unaffiliated third party (the "Buyer").  The building to be sold is approximately 14,500 square feet and was originally purchased by the Company in April 2001. The agreed upon sale price is approximately $5.2 million, subject to normal real estate closing adjustments.  The Company expects to recognize a gain from the sale which will be reflected in the Company's financial statements in the quarterly period in which the sale is consummated. Completion of the transaction is expected in January 2018, although its final consummation cannot be assured. The Company expects to use the sale proceeds to repay the existing working capital loan plus accrued interest of approximately $2.6 million, to Mr. Richard A. Banco, the Company's Chairman, President and Chief Executive Officer. The remaining proceeds will be used for working capital.
