Item 7.01 Regulation FD Disclosure

As previously announced, on December 17, 2008, Lennox International Inc. (the “Company”) made a presentation to the investment community providing certain financial and operating information regarding the Company, including the Company’s strategy and outlook for 2008 and beyond.

The Company provided its current 2008 full-year financial guidance:

Revenue down 5-6% from the prior year

  •  
Adjusted EPS of $2.65 - $2.75

  •  
GAAP EPS from continuing operations of $2.13 - $2.23

  •  
Capital expenditures of approximately $60 million

  •  
Tax rate of 36-37%

The Company also provided 2009 full-year financial guidance:

  •  
Revenue down 8-12% from the prior year, including 5 percentage points of negative impact from foreign exchange

  •  
Adjusted EPS of $2.10 - $2.50

  •  
GAAP EPS from continuing operations of $2.05 - $2.45

  •  
Capital expenditures of approximately $80 million

  •  
Tax rate of 36-37%
