Item 1.01 Entry into a Material Definitive Agreement.

On June 30, 2009, Alliance Data Systems Corporation ("Alliance Data" or the "Company" as "Borrower") and ADS Alliance Data Systems, Inc., ADS Foreign Holdings, Inc., Alliance Data Foreign Holdings, Inc., Epsilon Marketing Services, LLC and Epsilon Data Management, LLC (as "Guarantors") increased by $27.0 million the aggregate amount of Loans outstanding under their Term Loan Agreement with Bank of Montreal, as Administrative Agent, and various other agents and banks dated May 15, 2009, as amended (the "Term Loan Agreement").

As of June 30, 2009, borrowings under the Term Loan Agreement were $161.0 million. As a result of the increased lending commitments, the Company added The Royal Bank of Scotland plc, The Northern Trust Company and Wells Fargo Bank, N.A. as additional lenders under the Term Loan Agreement. The Royal Bank of Scotland plc is also a lender under the Company's $750.0 million revolving credit facility.
