Item 8.01 Other Events.

On April 17, 2006, Erie Indemnity Company announced that it would cease development of ERIEConnection, a personal lines policy administration and Web-based agency interface system. The Company will incur a charge of $1.3 million, or $.02 per share, in the first quarter of 2006. The related press release is attached as Exhibit 99.1. Further discussion will be included in the first quarter 2006 Form 10-Q.
