Item 5.02 Departure of Directors or Principal Officers; Election of Directors; Appointment of Principal Officers.

On July 25, 2005, William T. Pieper announced that he was resigning from the position of Vice President, Controller of ADC Telecommunications, Inc. (the "Company") effective August 10, 2005, as he has accepted a position at another company. Mr. Pieper's resignation was not the result of any disagreement with the Company or its current management on any matter relating to the Company's operations, policies or practices. Gokul Hemmady, the Company's Chief Financial Officer and former Controller will assume the responsibilities of principal accounting officer until a permanent replacement is named for Mr. Pieper's position.
