Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.

(d) On March 15, 2007, pursuant to Section 5B of Kroger’s Regulations, the Company’s Board of Directors elected Jorge P. Montoya to serve on the Board until the annual meeting of shareholders in 2007, or until his successor is duly elected and qualified. He has been appointed to serve on the Compensation and Public Responsibilities Committees. There are no arrangements or understandings between Mr. Montoya and any other persons pursuant to which he was selected as a director. Mr. Montoya has not engaged in any transactions with Kroger during the last fiscal year, and does not propose to engage in any transactions, that would be reportable under Item 404(a) of Regulation S-K.
