Item 1.01. Entry into a Material Definitive Agreement.
On January 14, 2019, Alnylam Pharmaceuticals, Inc. (the Company) entered into an underwriting agreement (the Underwriting Agreement) with Barclays Capital Inc. (the Underwriter), relating to an underwritten public offering of 5,000,000 shares (the Shares) of the Companys common stock, par value $0.01 per share (the Common Stock). All of the shares are being sold by the Company. The offering price to the public is $77.50 per share, and the Underwriter has agreed to purchase the Shares from the Company pursuant to the Underwriting Agreement at a price of $76.46 per share. After underwriting discounts and commissions and estimated offering expenses, the Company expects to receive net proceeds from the offering of approximately $382 million (assuming the Underwriter does not exercise its option to purchase additional shares referenced below). Under the terms of the Underwriting Agreement, the Company granted the Underwriter an option, exercisable for 30 days, to purchase up to an additional 750,000 shares of Common Stock at the same price per share as the Shares solely to cover over-allotments.
The Shares will be issued pursuant to an automatically effective shelf registration statement that the Company filed with the Securities and Exchange Commission (the SEC) on May 5, 2017 (File No. 333-217688). A prospectus supplement relating to the offering has been filed with the SEC. The offering is expected to close on January 17, 2019, subject to satisfaction of customary closing conditions.
