Item 3.03

Material Modification to Rights of Security Holders.

On December 4, 2018, Teva Pharmaceutical Industries Limited (the “Company”) entered into a Second Amended and Restated Deposit Agreement with Citibank, N.A. (the “Depositary”), as depositary (the “Restated Deposit Agreement”), and updated the form of American Depositary Receipt (the “ADR”) evidencing the American Depositary Shares (“ADSs”) issued under the terms of the Restated Deposit Agreement. The Restated Deposit Agreement restates the Company’s Amended and Restated Deposit Agreement with JPMorgan Chase Bank, N.A., as depositary, dated as of November 5, 2012, in its entirety. The Company entered into the Restated Deposit Agreement to appoint Citibank, N.A. as the depositary in connection with the Company’s ADR program and to otherwise enter into customary market terms regarding depositary arrangements. Holders of the ADSs are not required to take any action at this time.
