Item 5.02. Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.

On December 15, 2015, Admiral Joseph W. Prueher, an independent member of the Board of Directors (the “Board”) of Armada Hoffler Properties, Inc. (the “Company”), notified the Company of his decision not to stand for reelection to the Board when his current term expires at the Company’s 2016 annual meeting of stockholders (the “2016 Annual Meeting”). Admiral Prueher’s decision is not the result of any disagreement with the Company related to the Company’s operations, policies or practices and is solely due to unavoidable scheduling conflicts. Admiral Prueher intends to continue to serve as a director and a member of the Audit Committee of the Board until the expiration of his term in connection with the election of directors at the 2016 Annual Meeting.
