Item 5.07. Submission of Matters to a Vote of Security Holders.
The Company held its 2014 Annual Meeting of Stockholders on May 16, 2014 in San Mateo, California (the Annual Meeting). At the Annual Meeting, the Companys stockholders considered two proposals, each of which is described briefly below and in more detail in the Companys definitive proxy statement filed with the Securities and Exchange Commission on April 9, 2014. Present at the Annual Meeting in person or by proxy were holders of shares of Class A Common Stock and Class B Common Stock together representing 356,946,578 votes, or 85.49% of the eligible votes. The final voting results for each proposal are set forth below.
|Proposal 1:||To elect two Class I directors to hold office until the 2017 annual meeting of stockholders:|
Each of the foregoing nominees was elected and each received affirmative votes from more than a majority of the votes cast.
|Proposal 2:||To ratify the selection of KPMG LLP as the Companys independent registered public accounting firm for the Companys fiscal year ending December 31, 2014:|
The foregoing proposal was approved.
