ITEM 8.01 Other Events.

On February 23, 2012, Universal Insurance Holdings, Inc. (“Company”) announced that its Board of Directors declared a cash dividend on the Company’s common stock of $.10 per share, payable on April 6, 2012, to shareholders of record on March 28, 2012. The announcement, a copy of which is attached hereto as Exhibit 99.1 to this report, is incorporated herein by reference.
