Item 5.07. Submission of Matters to a Vote of Security Holders.
(a) | On May 12, 2012, BioMarin Pharmaceutical Inc. (the Company), held its 2011 Annual Meeting of Stockholders (the Annual Meeting), at the San Francisco Marriot Union Square, 480 Sutter Street, San Francisco, CA 94108. A total of 110,839,800 shares of the Companys common stock were entitled to vote as of March 18, 2011, the record date for the Annual Meeting. There were 100,516,514 shares present in person or by proxy at the Annual Meeting, at which the stockholders were asked to vote on four (4) proposals. Set forth below are the matters acted upon by the stockholders, and the final voting results of each such proposal. |

Proposal 3: Advisory Vote on the Frequency of Advisory Votes on the Compensation of the Companys Executive Officers

Proposal 4. Ratification of the Appointment of Independent Registered Public Accounting Firm
The ratification of the selection of KPMG LLP as the Companys independent registered public accounting firm for the year ending December 31, 2011 received the following votes:

Based on the votes set forth above, the selection of KPMG LLP as the Companys independent registered public accounting firm to serve for the year ending December 31, 2011 was duly ratified by the stockholders.
(d) In light of the voting results concerning the frequency with which stockholders will be provided an advisory vote on executive compensation that were delivered at the Annual Meeting (Proposal 3), the Company will include a stockholder vote on the compensation of executives in its proxy materials annually until the next required vote on the frequency of stockholder votes on the compensation of executives. The Company is required to provide stockholders the opportunity to cast a non-binding advisory vote on the frequency of stockholder votes on the Companys executive compensation at least once every six calendar years.
