EXPLANATORY NOTE

We are filing this Amendment No. 2 to the Annual Report on Form 10-K of Rock-Tenn Company (the “Company”) for the year ended September 30, 2010, which was originally filed with the Securities and Exchange Commission on November 22, 2010, as amended on April 5, 2011, (the “Original Form 10-K”) solely to include as Exhibit 3.4 the Articles of Amendment to the Registrant’s Restated and Amended Articles of Incorporation effective February 10, 1994.

No other information in the Original Form 10-K is amended hereby. The information in this Form 10-K/A has not been updated to reflect events that occurred after the filing of the Original Form 10-K.
