Item 5.02 Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.

Roger Phillips has announced that he will not be standing for re-election as a director at the April 29, 2010 annual meeting as he will reach the company’s mandatory retirement age for directors in 2010. Following the recommendation of Imperial Oil Limited’s nominations and corporate governance committee, on February 23, 2010, the board of directors of Imperial nominated David S. Sutherland as a nominee for director on the slate of nominees.
