Item 5.02 Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers

On October 14, 2009, Gilles Delfassy notified Spansion Inc. (the “Company”) of his resignation as a member of the Company’s Board of Directors, effective immediately. Mr. Delfassy did not resign because of a disagreement with the Company on any matter relating to the Company’s operations, policies or practices.
