Item 2.02. Results of Operations and Financial Condition.

On October 31, 2008, Peplin, Inc. (the “Company”), filed a quarterly report with the Australian Securities Exchange (the “ASX”) on Appendix 4C, disclosing certain financial information regarding the Company as of the three month period ended September 30, 2008. A copy of the filing is attached hereto as Exhibit 99.1 and is incorporated by reference in its entirety into this Item 2.02. The filing was also publicly available, when filed, on the ASX’s website at www.asx.com.au.
