(b) On October 30, 2008, Mid Penn Bancorp, Inc. (the Company) issued a press release announcing that Alan W. Dakey, President and Chief Executive Officer of the Company and Chairman, President and Chief Executive Officer of Mid Penn Bank, the wholly owned banking subsidiary of the Company (the Bank), had resigned as an employee, officer and director of the Company and the Bank effective October 29, 2008. The resignation was not the result of a disagreement with the Company on any matter relating to the Companys operations, policies or practices. The press release is attached hereto as Exhibit 99.1 and is incorporated herein by reference. In accepting the resignation, the Company and the Bank agreed that Mr. Dakey would be entitled to all of the payments and benefits provided under his employment agreement with the Bank in the event of a termination without cause.
(c) The Board of Directors of the Company has appointed Edwin D. Schlegel, Chairman of the Company, as interim President and CEO of the Company and interim Chairman, President and CEO of the Bank. The Executive Committee of the Board of the Company will act as a search Committee to seek a permanent replacement for Mr. Dakey
