Item 3.01. Notice of Delisting or Failure to Satisfy a Continued Listing Rule or Standard; Transfer of Listing.

On August 13, 2008, Newtek Business Services, Inc. (the “Company” or “Newtek”) received a staff deficiency letter from The Nasdaq Stock Market (“Nasdaq”) indicating that, for the last 30 consecutive days, the bid price for Newtek’s common stock has closed below the minimum $1.00 per share requirement for continued inclusion on the Nasdaq Global Market under Marketplace Rule 4450(a)(5) (the “Rule”). In accordance with Marketplace Rule 4450(e)(2), the Company was given 180 calendar days, or until February 9, 2009, to regain compliance with the Rule. The letter also indicated that, if the Company does not regain compliance by February 9, 2009, Nasdaq will provide written notification that Newtek’s common stock will be delisted, after which Newtek may appeal the staff determination to the Nasdaq Listing Qualifications Panel.
