On July 24, 2007, International Coal Group, Inc. (the “Company”) issued a press release, attached as Exhibit 99.1, announcing that it had commenced a proposed private offering (the “Offering”) of $180.0 million aggregate principal amount of convertible senior notes due 2012, in a transaction exempt from the registration requirements of the Securities Act of 1933, as amended.
