Item 2.02. Results of Operations and Financial Condition.
On November 6, 2006, Phoenix Technologies Ltd. issued a press release announcing its financial results for the quarter ended September 30, 2006. A copy of the press release is furnished as Exhibit 99.1 to this report. The press release contains a non-GAAP calculation of net income (loss) and net income (loss) per share that excludes stock-based compensation expense. The Company’s management believes these non-GAAP financial measures provide meaningful supplemental information regarding the Company’s performance that facilitates comparisons to the Company’s historical performance. A reconciliation between these non-GAAP financial measures and the nearest GAAP financial measures is provided in the financial statements accompanying the press release.
