On January 27, 2005, Colgate-Palmolive Company issued a press release announcing its earnings for the quarter and year ended December 31, 2004. This press release is attached as Exhibit 99 and is incorporated herein by reference.

On January 24, 2005, Carlos M. Gutierrez resigned from the Board of Directors of Colgate-Palmolive Company upon his confirmation as Secretary of the United States Department of Commerce.
