ITEM 8.01   Other Events.
 
On January 26, 2015, Rock-Tenn Company, a Georgia corporation (“RockTenn”), and MeadWestvaco Corporation, a Delaware corporation (“MeadWestvaco”), announced that they had entered into a Business Combination Agreement, dated as of January 25, 2016 (“Business Combination Agreement”), by and between RockTenn and MeadWestvaco.  A copy of the joint press release announcing the transaction is attached hereto as Exhibit 99.1.  RockTenn will be providing supplemental information regarding the transaction in connection with a presentation to investors (the “Investor Presentation”).  The slides to be used in connection with this Investor Presentation are attached hereto as Exhibit 99.2.

The information required by Item 1.01, including a copy of the Business Combination Agreement, will be filed in a separate Current Report on Form 8-K.
