(b)  On July 31, 2009, Eric S. Williams, Executive Vice President and Chief Lending Officer of Mid Penn Bank, a wholly owned banking subsidiary of Mid Penn Bancorp, Inc. (the “Bank”), resigned as an employee and officer of the Bank effective July 31, 2009.
