Item 5.02   Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.

On July 12, 2010, Technitrol received a notice of resignation from Toby Mannheimer, Vice President of Human Resources.  Ms. Mannheimer is leaving Technitrol to pursue other opportunities and her resignation will be effective on July 30, 2010.
