Item 2.02         Results of Operations and Financial Condition

On February 8, 2010, we issued a press release announcing our unaudited financial results for the fiscal quarter ended January 1, 2010.  The full text of the press release is furnished as Exhibit 99.1 with this report.  The press release contains certain non-GAAP financial measures.   We use a number of different financial measures, both GAAP and non-GAAP, in analyzing and assessing our overall business performance, for making operating decisions, and for forecasting and planning future periods.  More information on our use of non-GAAP financial measures is described in the press release.   The press release shall not be deemed "filed" for purposes of the Securities Exchange Act of 1934, as amended (the "Exchange Act"), or incorporated by reference in any filing under the Securities Act of 1933, as amended, or the Exchange Act, except as shall be expressly set forth by specific reference in such a filing.
