This Amendment No. 1 on Schedule 13D is being filed by the undersigned (the “Reporting Person”) to amend the Schedule 13D filing originally made on January 30, 2009.

 
Item 1.
Security and Issuer.

The title and class of equity security to which this Amendment No. 1 to Schedule 13D (this “Statement”) relates is the Common Shares, par value $.01 per share (the “Common Shares”), of Maiden Holdings, Ltd., an insurance holding company organized under the laws of Bermuda (the “Issuer”). The address of the Issuer’s principal executive offices is 131 Front Street, 2nd Floor, Hamilton HM12 Bermuda.
 
Item 2.
Identity and Background.
 
This report is being filed by George Karfunkel with a business address of 59 Maiden Lane, New York, New York 10038 (the “Reporting Person”). The Reporting Person is a private investor. The Reporting Person is a citizen of the United States of America.
 
During the last five years, the Reporting Person has not (i) been convicted in a criminal proceeding (excluding traffic violations or similar misdemeanors) or (ii) been a party to a civil proceeding of a judicial or administrative body of competent jurisdiction as a result of which the Reporting Person was or is subject to a judgment, decree or final order enjoining future violations of, or prohibiting or mandating activities subject to, federal or state securities laws or finding any violation of such laws.
 
Item 3.
Source and Amount of Funds or Other Consideration.
 
On September 20, 2010, pursuant to the Warrant Exchange Agreement and the Lockup Agreement between the Reporting Person and the Issuer, the Reporting Person exchanged his warrant to acquire 1,350,000 Common Shares for 600,000 Common Shares, subject to a three-year lockup agreement expiring on September 20, 2013.
 
Item 4.
Purpose of Transaction.
 
The transactions described in Item 3 of this Statement were effected for investment purposes only.
 
The Reporting Person does not have any current plans or intentions which relate to or would result in any of the actions described in subparagraphs (a) through (j) of Item 4 of Schedule 13D.

As of September 20, 2010, the Reporting Person beneficially owned 6,055,577 Common Shares as follows: (i) the 2,458,547 Common Shares held directly by the Reporting Person, (ii) 3,597,030 Common Shares held indirectly by the George Karfunkel 2007 Grantor Retained Annuity Trust #1 and the George Karfunkel 2007 Grantor Retained Annuity Trust #2 (the “Trusts”) of which the Reporting Person is a beneficiary.  The Reporting Person disclaims beneficial ownership of the 741,453 Common Shares that he holds indirectly as a Trustee of the Chesed Foundation (“Chesed”), a charitable foundation organized by the Reporting Person.

As of September 20, 2010, the Reporting Person had sole voting and dispositive power with respect to (i) the 2,458,547 Common Shares held directly by the Reporting Person, (ii) the 741,453 Common Shares held indirectly by the Reporting Person as a Trustee of Chesed, and (iii) the 3,597,030 Common Shares held indirectly by the Reporting Person as a beneficiary of the Trusts.

Except for the transactions described in Item 3, the Reporting Person has not had any other transactions in the Common Shares that were effected during the past 60 days.

Item 6.
Contracts, Arrangements, Understandings or Relationships with Respect to Securities of the Issuer.
 
Other than as described in this Item 4 of this Schedule 13D, the Reporting Person has no other contracts, arrangements, understandings or relationships with any other person with respect to any securities of the Issuer.
 
Under the terms of the Warrant Exchange Agreement, the Reporting Person agreed to surrender the warrant held by him, issued by the Issuer on June 7, 2007 for the purchase of 1,350,000 of the Issuers common shares at $10.00 per share, in exchange for 600,000 of the Issuer’s common shares.  On September 20, 2010, the warrant was accepted for exchange by the Issuer, and the Issuer issued the common shares to the Reporting Person.

On September 20, 2010, as a condition to the exchange for common shares, the Issuer entered into a Lockup Agreement with the Reporting Person.  Under the terms of the Lockup Agreement with the Reporting Person, pursuant to which the Reporting Person agreed that for a period of 36 months following the grant date he will not, without the prior written consent of the Issuer, directly or indirectly, (A) offer, pledge, sell, contract to sell, sell any option or contract to purchase, purchase any option or contract to sell, grant any option, right or warrant for the sale of, or otherwise dispose of or transfer any shares acquired by the shareholder as a result of the warrant exchange, or (B) enter into any swap or any other agreement or any transaction that transfers, in whole or in part, directly or indirectly, the economic consequence of ownership of the shares acquired in the warrant exchange.
