Item 2.02.
Results of Operations and Financial Condition.
 
On March 17, 2010, the Company released a press release announcing the results of the second quarter ended February 10, 2010.  A copy of that release is attached as Exhibit 99.1.  The information and exhibit furnished under Item 2.02 of this Current Report on Form 8-K shall not be deemed to be “filed” for the purposes of Section 18 of the Securities Exchange Act of 1934, as amended, or otherwise subject to the liabilities of that section.
 
On March 17, 2010, PR Newswire processed the earnings release "Luby's Reports Second Quarter Fiscal 2010 Results" for Luby's, Inc. During the processing of the 8-K, certain changes to amounts reflected in the Company’s earnings release were inadvertently omitted from the processing of the 8-K that was filed with the SEC. Because of this, we will file an Amended 8-K with the SEC with those changes that were not reflected in the original file.
