Item 2.02 Results of Operations and Financial Condition.
On April 22, 2005, 21st Century Holding Company (the "Company") issued a
press release raising its first quarter guidance from $0.70 - $0.75 per share to
$0.80 - $0.85 per share and announcing that it will release its first quarter
2005 financial results after the market closes on Wednesday, April 27, 2005
followed by an investor conference call at 4:30 PM (ET). A copy of the press
release is attached to this current report on Form 8-K as Exhibit 99.1 and
incorporated herein by reference.
