Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.

On October 8, 2009, Rajesh Navar notified the Board of Directors of LiveDeal, Inc. (the “Company”) of his resignation as Chairman of the Board of Directors, and as a director of the Company, effective as of October 15, 2009.  Mr. Navar’s resignation is the conclusion of a transition that began with his earlier resignation as President in 2008 and is the result of his relocation to India and pursuit of new ventures and not the result of any disagreement with the Company.
