Item 8.01                                           Other Events.

 

As previously announced, on July 25, 2018, United Natural Foods, Inc., a Delaware corporation (the “Company”), entered into an Agreement and Plan of Merger (the “Merger Agreement”) pursuant to which it has agreed to acquire SUPERVALU INC., a Delaware corporation (“SUPERVALU”). On July 26, 2018 the Company presented an investor presentation in connection with the Merger Agreement and the transactions contemplated thereby (the “Investor Presentation”). A copy of the Investor Presentation is furnished as Exhibit 99.1 and incorporated herein by reference.

 

In addition, on July 26, 2018 the Company held an investors call to provide additional details regarding the Merger Agreement. A copy of the call’s transcript is furnished as Exhibit 99.2 and incorporated herein by reference.
