Item 1.01 Entry into a Material Definitive Agreement.
On February 6, 2007, GMH Communities, LP, a Delaware limited partnership, entered into a Second Amendment to Loan Agreement with Wachovia Bank, National Association in order to extend the initial maturity date of its $250,000,000 secured revolving credit facility (“Credit Facility”) from April 2, 2007 to June 1, 2007. All other terms of the Credit Facility remain in place and effective. GMH Communities, LP is the operating partnership of GMH Communities Trust.
