Item 1.01                          Entry into a Material Definitive Agreement.

 

On August 24, 2004 we entered into a credit agreement effective July 1, 2004 with Wells Fargo National Association.  The Agreement allows borrowings of up to $30 million, the proceeds of which will be used to finance our working capital requirements.  As security for all indebtedness under the credit agreement, we have granted a security interest of first priority in our investment management account maintained with Wells Capital Management Incorporated.
