Item 5.02 Departure of Directors or Principal Officers; Election of Directors; Appointment of Principal Officers.

On December 14, 2006, Luis Goyzueta resigned as a director of our comapny. There were no disagreements between Mr. Goyzueta and our company relating to our company’s operations, policies or practices.
