Amendments to Articles of Incorporation or Bylaws; Change in Fiscal Year
 
On July 30, 2008, the Board of Directors amended Section 1.3 of the Restated Bylaws to require any shareholder proposing business to be conducted at a shareholder meeting (including nomination of directors) to provide additional information to the Company and to make certain other minor language clarifications.  A copy of the Restated Bylaws, as amended, is filed with this report as Exhibit 3.2.
