(d) Appointment of New Director

On March 14, 2008, the Company’s Board of Directors appointed Jing-Shyh S. “Sam” Su as Vice-Chairman of the Board of Directors.  The appointment is effective immediately.  Mr. Su will remain President of the Company’s China Division and will stand for election to the Board by shareholders at our Annual Meeting on May 15, 2008.  There is no arrangement or understanding between Mr. Su and any other person pursuant to which he was selected as a director.
